I live in Nevada, Henderson which is part of las vegas. It's growing fast. The middle part of vegas is the oldest, the outlying areas are the newest and best neighborhoods. I live in Anthem which is South it's a nice area. It's a 24 hour city which means everything is open. you can grocery shop, bowl, go to the movies, gamble, etc at any time. It's called sin city but there's churches and temples all over and the people are okay. If you have dependency problems don't come. Too much cheap alcohol, food, gambling will get you caught up. The most extreme weather problem is heat it can get from 119 to 120 degrees in the summer, and lots of rain in july/august. Winds are a problem sometimes and some flooding. I've been here 30 years. it's okay

I am forming a Nevada LLC to hold my real estates in Nevada, soldly for asset protection. Do I need to get a state business license ($100) as well as EIN? I understand I would need it if I was conducting an active business in Nevada, but real estate holding/asset protection is passive. Thanks in advance for your help.

If it is your personal residence than you should file for an EIN number but request to be a disregarded for tax purposes. By placing it directly into the LLC you could loss the capability of taking personal tax write offs if you do not elect for the entity to be disregarded for tax purposes. You should not need to obtain a business license. Also, be aware that if you have a mortgage on you personal residence and placed the property directly into the LLC you may be in breach of your mortgage contract and your mortgage company could request payment for the full amount owed. If the property is an investment property that you plan to rent out, than you will need to obtain a business license, the state just increased the state license fee to $200.00. You will need to obtain and EIN number so that you can open a bank account for depositing rental income and filing taxes. Again, if the property is mortgaged you may be in breach of your mortgage contract. Nevada LLC's are the absolute best possible entity for asset protection; however, when it comes to real property there can be complications when transferring the property into the LLC.

I am a CA resident and my partner is a NV resident. We do all of our business online nationwide, no products, just services, on servers in Nevada. We plan to have a Nevada business address and bank account and form a Nevada LLC. When the company makes money, how do I distribute it (payroll, dividends, etc) and what are the state and federal tax implications of my choices?


Answer:
If you start an LLC, you don't worry about payroll or dividends. Essentially, you and your partner decide what percent of the company each of you own. Then all income and expenses will be divided among you (so, essentially, net income will be divided between you.) This will be reported on a K-1 once the LLC's tax return is complete. That K-1 shows your share of the net income, which you then report on your Schedule E. It flows through to your personal return- the LLC itself doesn't pay income taxes- you pay the income taxes on the income directly. You can organize the LLC so it's taxed like a C-Corp, but most people don't- it defeats one of the major benefits of organizing as an LLC- no double-taxation. Hope that helps. :0)
